Terms of Service

These terms govern your use of BUILDALL websites, assessments, reports, and related services.

Last updated October 11, 2026

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Buildall Inc. ("BUILDALL," "we," "our," or "us"). By accessing buildall.com, submitting a request, or using a BUILDALL service, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the service.

You must be at least 18 years old and able to form a binding contract. If you use BUILDALL for an organization, you represent that you are authorized to bind that organization.

2. BUILDALL services

BUILDALL provides information, assessments, reports, frameworks, and related services concerning operational dependency, continuity, and transferability. Website descriptions are general and may change. A paid engagement is also governed by its proposal, statement of work, order, or other written agreement. If that agreement conflicts with these Terms, the engagement-specific agreement controls for that engagement.

3. No professional or transaction advice

Important: BUILDALL does not provide legal, tax, accounting, investment, lending, brokerage, appraisal, or business-valuation advice. Scores, observations, and recommendations are decision-support tools, not guarantees of operating performance, business value, financing, succession, or a transaction outcome.

You are responsible for obtaining qualified professional advice and independently evaluating decisions affecting your business.

4. Your information and BUILDALL intellectual property

Your information

You retain ownership of information you submit. You grant BUILDALL the limited right to process it as needed to evaluate your request, deliver authorized services, secure the platform, and meet legal obligations. You represent that you have the right to provide the information and that it does not violate law or another person's rights.

Confidential engagement information

Confidentiality obligations for a paid engagement are governed by the applicable written agreement. Public forms should not be used to transmit credentials or highly sensitive records.

BUILDALL materials

The BUILDALL name, visual identity, methodologies, site content, report formats, software, scoring structures, and other materials are owned by or licensed to Buildall Inc. Except for the limited internal use expressly included with a service, you may not reproduce, sell, publish, reverse engineer, or create derivative commercial products from them without written permission.

5. Acceptable use

You agree not to:

  • Use the service unlawfully, deceptively, or to infringe another person's rights.
  • Probe, disrupt, overload, bypass, or attempt unauthorized access to the service or its data.
  • Submit malware, automated spam, false identity information, or content you do not have permission to share.
  • Scrape, copy, resell, or commercially exploit BUILDALL materials except as expressly authorized.
  • Use BUILDALL output as the sole basis for a legal, employment, credit, insurance, investment, or similarly consequential decision.

6. Paid engagements

Fees, payment timing, scope, delivery dates, expenses, cancellation rights, and refund terms for paid services will be stated in the applicable written agreement. Unless that agreement says otherwise, fees are quoted in U.S. dollars and do not include taxes. You are responsible for taxes imposed on your purchase other than taxes on BUILDALL's income.

7. Third-party services and links

BUILDALL may rely on or link to third-party hosting, database, payment, communication, or information services. Third parties operate under their own terms and privacy practices. We are not responsible for third-party services we do not control.

8. Disclaimers

To the maximum extent permitted by law, the website and any generally available materials are provided "as is" and "as available." Buildall Inc. disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted access, error-free operation, or that every risk or dependency will be identified.

9. Limitation of liability

To the maximum extent permitted by law, Buildall Inc. and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from the website or services.

Except where prohibited by law or superseded by an engagement-specific agreement, BUILDALL's aggregate liability arising from these Terms will not exceed the greater of $100 or the fees you paid Buildall Inc. for the service giving rise to the claim during the six months before the event. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

10. Indemnification and termination

You agree to indemnify and hold Buildall Inc. harmless from third-party claims arising from your unlawful use, your submitted information, or your violation of these Terms. We may suspend or terminate access where reasonably necessary to protect the service, users, third parties, or legal rights. Provisions that by their nature should survive termination will survive.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Unless a written engagement agreement provides otherwise, the state and federal courts with jurisdiction in Delaware will have exclusive jurisdiction over disputes, and each party consents to that forum.

12. Changes and general terms

We may update these Terms by posting a revised version and changing the effective date. Material changes apply prospectively. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, or sale.

13. Contact

Questions about these Terms may be sent to legal@buildall.com or through our Contact page.
